Terms of service
1. Agreement
By creating an account, opening the app, or using a Shopmycode link, offer or snippet, you agree to these terms and to our Privacy policy and Cookie policy. If you act for a company you confirm you may bind it. Brands also agree to the Data Processing Addendum. You must be 18 or older.
2. What Shopmycode does
Shopmycode gives brands a way to publish offers, gives marketers and members short links to share, counts what those links bring (opens, sign-ups, orders) and shows everyone the same live numbers, and settles the money between brands and marketers. Numbers are counted by our systems and by the reports brands' pages and stores' networks send us; they are the record for settlement unless a manifest error is shown.
3. Accounts
- You sign in with a one-time code sent to your email, or to your phone on WhatsApp. Keep that inbox or number secure; anyone with the code can use your account.
- Give us true details and keep them current. Payout and tax details must be your own (or your company's).
- Staff, marketer and brand accounts are separate books; the same email may exist in more than one.
- We may suspend an account that breaks these terms, is used for fraud, or is required to be suspended by law, and will tell you why unless the law prevents it.
4. Marketers and members
- You may share your links anywhere you are allowed to post, and you must follow the rules of that place (for example Instagram's, WhatsApp's or a store's terms) and applicable advertising law, including disclosing paid or affiliate promotion where required.
- You may not open your own links to inflate numbers, use bots, buy traffic that misrepresents itself, share links in spam, or promise things about a brand's product the brand has not authorised.
- A member is a person who holds a link handed to them by a campaign owner. Members see only their own links. The campaign owner may pause, approve or revoke a member's link at any time.
- Rewards are set by the brand in each offer or by the campaign owner. A reward is earned when the result the offer specifies (for example a sign-up or an order) is reported and confirmed, and the hold period has passed.
5. Brands
- You are responsible for the offers you publish, the pages your links lead to, the reward terms you set, and for paying what you owe on time.
- If you install our snippet on your site you must have the right to do so and must describe it in your own privacy notice, as set out in the DPA.
- You may approve or reject marketers, pause offers and campaigns, and export your numbers. Rewards already earned under an active offer remain payable.
- Settlements are raised as invoices; our platform fee is stated on each and is charged to the brand.
6. Money
- Wallet. Earned rewards are credited to a marketer's wallet in Indian rupees once the result is confirmed and any hold period set by the store, network or offer has passed (typically 30 to 60 days for orders, to allow for returns).
- Withdrawals. Minimum withdrawal is ₹100. Payouts are made in India by bank transfer or UPI through our payout partner Easebuzz, to the details in your profile. You must have a valid PAN for payouts; we deduct tax at source where Indian law requires and issue the corresponding certificates.
- Brand payments. Brands pay settlement invoices online through PayU (cards, UPI, net banking) or by bank transfer, within the period on the invoice.
- Reversals. If a store, network or brand reverses a result (a returned order, a fraudulent sign-up), the corresponding reward is reversed too, and may be deducted from a later balance.
- Mistakes. Obvious counting or payment errors will be corrected in either direction.
- Amounts are exclusive of taxes unless stated. Currency conversion, where it happens, is at the rate of the payment provider on the day.
6A. Wallet, campaign budgets and fees (brands)
- Subscription. Running funded campaigns needs the enterprise subscription (₹499 + GST a month; sold annually at ₹4,999 + GST while the launch offer lasts). Link tracking, the Live view and everything that does not pay marketers stays free. If the subscription is not renewed, funded campaigns keep running for 7 days and then pause until it is; nothing in your wallet is lost.
- Wallet. Money you add through the payment gateway (minimum ₹1,000) or that we add on your instruction is a prepaid credit for paying marketers. It is not a deposit, earns no interest, is not withdrawable and is refunded only at our discretion when an account closes. No GST is charged on a top-up.
- Campaign budgets. You allocate wallet money to a campaign, where it is locked. Each confirmed result takes the reward you set plus our platform fee of 15% of that reward from the budget; the reward is credited to the marketer at once. Unspent budget returns to your wallet when you close the campaign. A campaign pauses by itself when its budget cannot cover the next result; you and the marketers promoting it are told when it runs low.
- Invoices. After each month we issue one invoice for the platform fees taken that month plus GST; rewards paid to marketers pass through and are not invoiced. The subscription is invoiced on payment. Invoices use the legal name, GSTIN and address you enter under Billing.
- Reversals. A result that is reversed (returned order, fraud) returns its reward and fee to the budget and is deducted from the marketer; the month's invoice reflects the net.
7. What is not allowed
Fake traffic, bots, self-referrals, cookie stuffing, forced clicks, misleading or unlawful content, promoting prohibited goods, impersonation, scraping or probing the service, interfering with other users' links, circumventing our tracking or a store's terms, and any use that breaks the law where you are. We may remove content or links and withhold rewards that were earned by breaking these rules.
8. Data and privacy
How we handle personal data is in the Privacy policy. Brands are the controllers of their campaign data and appoint us as processor under the DPA. Each party keeps the other's non-public information confidential.
9. Ownership
Shopmycode, its software, design, snippet and brand belong to TTL Media Private Limited. You get a non-exclusive, revocable licence to use them as these terms allow. You keep what you upload (names, logos, offer text) and give us a licence to show it in the service. Feedback you give may be used without obligation.
10. Liability
The service is provided as it is. We do not promise particular results, that every open will be counted, that stores' or networks' reports are complete, or that the service will never be interrupted. To the extent the law allows, our total liability to you for any claim in a 12-month period is limited to the fees you paid us or the rewards we paid you in that period, and we are not liable for indirect loss, lost profit or lost data. Nothing limits liability for fraud, death or personal injury, or anything that cannot be limited by law. You indemnify us against claims arising from content you publish, sites you link to, or your breach of these terms.
11. Ending the agreement
You may close your account any time from Profile → Account. Earned, confirmed rewards above the minimum are still paid out; unearned or reversed amounts are not. We may end the agreement with 30 days' notice, or immediately for breach or legal reasons. Links keep working for the campaign owner after a member leaves. Sections 6, 8, 9, 10 and 12 survive.
12. Law and disputes
These terms are governed by the laws of India. The courts of Pune, Maharashtra have exclusive jurisdiction, except that consumers keep any protection and forum the law of their own country grants them. Before going to court, write to legal@ttlmedia.in; we will try to resolve the matter within 30 days.
13. General
These terms are the whole agreement for the service. If a part is unenforceable the rest stands. We may update these terms; material changes are announced by email or in the app 15 days in advance, and continued use after that is acceptance. You may not transfer the agreement; we may transfer it to a successor of the business. Notices to us: legal@ttlmedia.in. Notices to you: the email on your account.
